Job Title: Corporate Counsel

Location: Roanoke, VA

Job Summary

Virginia Transformer Corp. is seeking a business-minded Corporate Counsel with a demonstrated record of litigation management and contract review experience with a strong understanding of business strategy and risk mitigation. Manufacturing industry experience, particularly within capital equipment, is preferred.

Key Responsibilities

  • Provide strategic legal counsel to senior management.
  • Advise internal stakeholders across departments on litigation, commercial, and risk matters.
  • Lead and manage disputes and litigation, including oversight of outside counsel, docket management, budgeting, reporting, and the execution of legal strategy.
  • Oversee insurance claims, filings, and reporting, while coordinating with internal and external stakeholders.
  • Draft, review, negotiate, and advise on various commercial agreements, including vendor, supply, customer, employment, and real estate transactions.
  • Support a dedicated sales contract team through document drafting, negotiations, training, and strategy.
  • Implement and manage contract database systems, policies, templates, playbooks, signature protocols, and other commercial processes.
  • Perform other general commercial legal duties as required.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school and admission to a state bar, preferably Virginia, or eligibility for in-house counsel registration in Virginia.
  • 20+ years of legal experience in litigation, including commercial, contractual, product liability, employment, real estate, and insurance matters.
  • A combination of in-house and law firm experience is preferred.
  • Experience in the manufacturing, capital equipment, or industrial sectors is a strong plus.
  • Excellent negotiation, problem-solving, and analytical skills.
  • Proven ability to manage complex legal matters while delivering practical and strategic legal solutions.
  • Demonstrated strong leadership and communication skills, with the ability to influence and collaborate across all organizational levels.
  • Highly proficient in managing external legal counsel and controlling legal budgets.
  • Strong business acumen and the ability to align legal strategy with organizational goals.
  • Excellent judgment, communication, and interpersonal skills.
  • Ability to thrive in a fast-paced, evolving environment.
